Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Synnectra A/S ("Synnectra", "we", "us", or "our"), a company registered in Denmark, governing your access to and use of the Synnectra platform and all associated services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to all of the terms and conditions set forth herein, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you further represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time in accordance with Section 17 (General Provisions). Your continued use of the Service following the publication of revised Terms constitutes your acceptance of such changes.

2. Definitions

In these Terms, the following terms shall have the meanings set forth below:

  • "Account" means a registered user account on the Service, created in accordance with Section 4, through which a User accesses the platform's features and functionality.
  • "Dashboard" means the web-based control panel provided by the Service through which Users manage their connected MetaTrader accounts, configure signal routing, view analytics, and administer subscription settings.
  • "License ID" means a unique alphanumeric identifier assigned to each User upon registration, used to authenticate the connection between the Service and the User's MetaTrader terminal(s).
  • "MetaTrader" means the MetaTrader 4 (MT4) and/or MetaTrader 5 (MT5) trading platforms developed by MetaQuotes Software Corp., to which the Service connects for the purpose of automated trade execution.
  • "Signal" means a trading instruction or alert generated in TradingView, including but not limited to buy, sell, close, or modify orders, which is transmitted through the Service for execution on a connected MetaTrader account.
  • "TradingView" means the web-based charting and analysis platform operated by TradingView, Inc., from which Signals originate via webhook alerts or other supported integration methods.
  • "Subscriptions" means the recurring payment plans offered by Synnectra that determine the scope of features, number of connected MetaTrader accounts, and level of service available to a User, as further described in Section 5.

3. Description of Service

Synnectra provides a cloud-based trade execution platform that functions as a signal bridge between TradingView and MetaTrader 4/5. The Service enables Users to automate the flow of trading signals from TradingView to one or more connected MetaTrader accounts with minimal latency.

The Service includes, but is not limited to, the following features and capabilities:

  • TradingView to MT4/MT5 Signal Bridge: Real-time reception and processing of webhook-based trading signals from TradingView, with automated execution on connected MetaTrader 4 and/or MetaTrader 5 terminals.
  • Multi-Account Execution: The ability to route a single Signal to multiple MetaTrader accounts simultaneously, enabling portfolio-level trade management and copy-trading functionality across supported subscription tiers.
  • Analytics and Reporting: Performance dashboards providing trade execution statistics, win/loss ratios, equity curves, and other metrics to help Users evaluate the performance of their signal strategies.
  • Symbol Mapping: Automated and configurable mapping of symbol names between TradingView and MetaTrader formats (e.g., converting "EURUSD" to "EURUSDm" or "EUR.USD"), ensuring accurate order placement across different broker conventions.
  • News Protection: Configurable filters that temporarily suspend or modify trade execution around scheduled economic news events, reducing exposure to heightened volatility during news releases.
  • Position Sizing: Tools for configuring lot sizing methodologies including fixed lot, risk-based percentage, and equity-based position sizing, applied automatically to incoming Signals.
  • Notifications: Real-time alerts delivered via email, push notification, or in-dashboard messaging to inform Users of trade executions, errors, account status changes, and other significant events.
  • Affiliate Program: A referral program through which Users may earn commissions by referring new subscribers to the Service, subject to the terms described in Section 13.
  • Two-Factor Authentication (2FA): An optional but recommended security feature requiring a time-based one-time password (TOTP) in addition to standard login credentials, providing enhanced account protection.

The Service is provided as a Software-as-a-Service (SaaS) platform. We do not provide financial advice, investment recommendations, or portfolio management services. The Service is a tool for trade execution and automation only.

4. Account Registration

To access the Service, you must register an Account by providing the following information:

  • Full Name: Your legal first and last name. You must provide your real name; pseudonyms or fictitious names are not permitted.
  • Email Address: A valid and actively monitored email address. This will serve as your primary account identifier and the destination for all Service-related communications, including billing receipts, security alerts, and notices of changes to these Terms.
  • Password: A password meeting our minimum security requirements, which must contain at least eight (8) characters, including at least one uppercase letter, one lowercase letter, one numeral, and one special character. You must not reuse passwords from other services.

You are solely responsible for maintaining the confidentiality and security of your Account credentials. You must not share your password, License ID, or two-factor authentication secrets with any third party. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your Account or any other breach of security.

You are responsible for all activities that occur under your Account, whether or not you authorized such activities. We shall not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

We reserve the right to suspend or terminate any Account that is found to contain inaccurate registration information, or that has been used in violation of these Terms.

5. Subscriptions and Payments

5.1 Subscription Plans

The Service is offered under the following subscription plans. Each plan determines the number of MetaTrader accounts that may be connected, the features available, and the applicable monthly fee:

5.2 Right of Withdrawal (Forbrugeraftaleloven § 19)

If you are a consumer (i.e., a natural person acting outside the scope of a trade, business, craft, or profession), you have the right to withdraw from your subscription within fourteen (14) days from the date of conclusion of the subscription agreement, in accordance with Section 19 of the Danish Contracts Act (Forbrugeraftaleloven). To exercise this right, you must inform us of your decision to withdraw by sending a clear statement to [email protected]. If you withdraw within this period, we will reimburse any payments received from you without undue delay and no later than fourteen (14) days from the day we are informed of your decision.

Please note that if you actively use the Service during the withdrawal period and request withdrawal, you may be required to pay a reasonable amount for the use of the Service during that period, as permitted by applicable law.

5.3 Billing

All subscription payments are processed through Stripe, Inc. ("Stripe"), our authorized payment service provider. By subscribing to a paid plan, you authorize Synnectra, through Stripe, to charge your designated payment method on a recurring monthly basis in advance of the applicable billing period.

Billing occurs on the same calendar date each month corresponding to the start of your subscription. If the billing date falls on a weekend or public holiday, the charge will be processed on the next business day. All prices are stated in United States Dollars (USD) and are exclusive of applicable taxes, unless otherwise indicated.

We do not store your payment card information on our servers. All payment data is processed and securely stored by Stripe in compliance with the Payment Card Industry Data Security Standard (PCI DSS).

5.4 Cancellation

You may cancel your subscription at any time through the Dashboard or by contacting [email protected]. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period for which payment has already been made.
  • No partial refunds are provided for unused portions of a billing period, except as required by applicable law or as described in Section 5.2 (Right of Withdrawal).
  • Upon expiration of your subscription, your connected MetaTrader accounts will be disconnected, and access to paid features will be revoked. Your Account data will be retained for a period of thirty (30) days to allow for potential reactivation.

We reserve the right to change subscription pricing at any time. In the event of a price increase, we will provide you with at least thirty (30) days' advance notice via email. Price changes will take effect at the start of your next billing period following such notice.

6. Acceptable Use Policy

You agree not to engage in any of the following prohibited activities while using the Service:

  • Using the Service for any purpose that is unlawful, fraudulent, or in violation of any applicable law or regulation, including but not limited to financial regulations in your jurisdiction of residence or operation.
  • Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, or proprietary techniques of the Service.
  • Interfering with or disrupting the integrity, security, or performance of the Service, including but not limited to introducing malicious code, launching denial-of-service attacks, or overloading infrastructure.
  • Sharing, distributing, or reselling access to your Account, License ID, or subscription to any third party without our prior written consent.
  • Using automated tools, bots, or scripts to scrape, crawl, or extract data from the Service beyond the functionality explicitly provided through the Dashboard or documented APIs.
  • Impersonating any person or entity, or falsely representing your affiliation with any person or entity.
  • Uploading, transmitting, or distributing any content that contains viruses, malware, or any other harmful or destructive code.
  • Using the Service to facilitate market manipulation, front-running, or any other prohibited trading practice under applicable securities or financial regulations.
  • Circumventing, disabling, or otherwise interfering with security-related features of the Service, including two-factor authentication or rate-limiting mechanisms.
  • Using the Service in a manner that could damage, disable, overburden, or impair our servers or networks.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing offending content, suspending or terminating the Accounts of such violators, and reporting violations to law enforcement authorities.

7. Risk Disclosure

7.1 General Trading Risks

Trading in financial instruments, including but not limited to foreign exchange (forex), contracts for difference (CFDs), cryptocurrencies, stocks, and commodities, involves substantial risk of loss. You should carefully consider whether trading is appropriate for your financial situation, experience level, and risk tolerance. You may lose some or all of your invested capital. Past performance, whether real or simulated, is not indicative of future results.

7.2 Automated Trading Risks

The Service facilitates automated trade execution based on Signals from TradingView. Automated trading carries additional risks beyond those associated with manual trading, including but not limited to:

  • Technical Failures: Software bugs, connectivity issues, server outages, or hardware malfunctions may prevent Signals from being received, processed, or executed correctly.
  • Execution Latency: Delays between Signal generation in TradingView and order execution on MetaTrader may result in fills at prices significantly different from the intended entry price (slippage).
  • Configuration Errors: Incorrect symbol mapping, position sizing, or other settings may cause orders to be placed with incorrect parameters, potentially resulting in unintended exposure or losses.
  • Rapid Market Movements: During periods of extreme volatility, automated systems may execute multiple trades in rapid succession, amplifying potential losses beyond what might occur in manual trading.

7.3 No Financial Advice

Synnectra does not provide financial advice, investment recommendations, or portfolio management services. The Service is a technical tool for the automated relay and execution of trading signals. Nothing in these Terms, on our website, or in any communication from us should be construed as a recommendation to enter into any particular trade or investment strategy. You should consult a qualified financial advisor before making any investment decisions.

7.4 "Best Effort" Basis

The Service is provided on a "best effort" basis. While we strive to ensure reliable signal delivery and trade execution, we do not guarantee that Signals will be received, processed, or executed without error, delay, or omission. We make no warranties or representations regarding the profitability, accuracy, or timeliness of trade execution.

7.5 Latency Disclaimer

Any latency figures or performance metrics published by Synnectra refer exclusively to server-side processing times within our infrastructure (i.e., the time between receiving a Signal webhook and dispatching the order to the MetaTrader terminal). We do not control and are not responsible for network latency between TradingView and our servers, between our servers and your broker's MetaTrader server, or any delays introduced by your broker's trade execution engine.

8. Intellectual Property

All intellectual property rights in the Service, including but not limited to the website, Dashboard, software, source code, databases, graphics, logos, icons, images, text, documentation, and the overall design and arrangement thereof, are the exclusive property of Synnectra A/S or its licensors and are protected by applicable copyright, trademark, patent, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during the term of your subscription. This license does not include the right to:

  • Modify, adapt, alter, translate, or create derivative works of the Service or any part thereof.
  • Sublicense, resell, distribute, lease, or otherwise transfer access to the Service to any third party.
  • Use any data mining, robots, scraping tools, or similar data gathering or extraction methods on the Service.
  • Download or copy any part of the Service except as expressly permitted by the functionality of the platform.
  • Use the Synnectra name, logo, trademarks, or other brand identifiers without our prior written consent.

The name "Synnectra", the Synnectra logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Synnectra A/S. You must not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

9. Data Processing

Your personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms. By using the Service, you consent to the collection, processing, and storage of your personal data as described in the Privacy Policy.

We act as the data controller for personal data collected through the Service. Our data processing practices comply with the European Union General Data Protection Regulation (GDPR) and the Danish Data Protection Act (Databeskyttelsesloven).

10. Limitation of Liability

10.1 "AS IS" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components.

10.2 Consumer Protections

For Users qualifying as consumers under Danish or EU law, nothing in these Terms shall be construed to exclude or limit liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by applicable law, including without limitation liabilities arising under the General Data Protection Regulation (GDPR); or (d) defective products under the Danish Product Liability Act (Produktansvarsloven).

10.3 Liability Cap

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to Synnectra in the twelve (12) months immediately preceding the event giving rise to the liability.

10.4 Business Users

If you are using the Service in the course of a trade, business, craft, or profession (a "Business User"), the following additional limitations apply:

  • We shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or loss of business opportunities, arising out of or in connection with the Service or these Terms.
  • The liability cap set forth in Section 10.3 shall apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

10.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, pandemic or epidemic, power outages, Internet or telecommunications failures, failures of third-party service providers (including MetaTrader servers, TradingView, Stripe, or cloud infrastructure providers), or any other force majeure event as recognized under Danish law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Synnectra A/S and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, suits, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms or any applicable law or regulation.
  • Your violation of any third-party right, including intellectual property rights, privacy rights, or contractual rights.
  • Any content you transmit or make available through the Service.
  • Your trading activities and any losses or disputes arising therefrom.
  • Any misrepresentation made by you in connection with your Account registration or use of the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. The indemnification obligations set forth in this Section shall survive the termination or expiration of these Terms.

12. Termination

12.1 Termination by User

You may terminate these Terms and close your Account at any time by cancelling your subscription through the Dashboard and requesting Account deletion via [email protected]. Upon termination:

  • Your subscription benefits will remain active until the end of the current paid billing period.
  • All connected MetaTrader accounts will be disconnected at the end of the billing period.
  • We will delete your personal data in accordance with our Privacy Policy and applicable data protection laws, typically within thirty (30) days of Account closure.

12.2 Termination by Synnectra

We may suspend or terminate your Account and these Terms, with immediate effect, in the following circumstances:

  • You have materially breached these Terms and, where the breach is capable of remedy, have failed to remedy such breach within fourteen (14) days of receiving written notice requiring you to do so.
  • You have engaged in conduct that, in our reasonable determination, is harmful to the Service, our infrastructure, our other Users, or our business interests.
  • We are required to do so by law, regulation, court order, or directive from a regulatory authority.
  • We decide to discontinue the Service or a material part thereof, in which case we will provide you with at least thirty (30) days' advance notice and a pro-rata refund for any prepaid but unused portion of your subscription.

Upon termination by us for cause (i.e., breach of these Terms), no refunds will be provided for any prepaid subscription fees.

12.3 Effect of Termination

Upon termination for any reason: (a) all licenses and rights granted to you under these Terms will immediately cease; (b) you must cease all use of the Service; (c) Sections 7 (Risk Disclosure), 8 (Intellectual Property), 10 (Liability Limitation), 11 (Indemnification), and 17 (General Provisions) shall survive and continue in full force and effect.

13. Affiliate Program

Synnectra may offer an affiliate program through which Users ("Affiliates") can earn commissions by referring new subscribers to the Service. Participation in the affiliate program is subject to the following terms:

  • Eligibility: All Users with an active Account in good standing are eligible to participate in the affiliate program. We reserve the right to deny participation to any User at our sole discretion.
  • Referral Process: Affiliates will be provided with a unique referral link or code. When a new User registers using this link or code and completes a paid subscription, the referring Affiliate earns a commission.
  • Commission Structure: Commission rates and payment schedules are published on the Dashboard and may be updated from time to time. Commissions are paid out only for verified, active paid subscriptions that have not been refunded or charged back.
  • Prohibited Practices: Affiliates must not engage in spam, deceptive advertising, false claims, cookie stuffing, trademark bidding, or any other unfair or misleading promotional practices. Violation of these rules may result in forfeiture of earned commissions and termination from the affiliate program.
  • Tax Liability: Affiliates are solely responsible for reporting and paying any taxes owed on commissions earned through the affiliate program. Synnectra does not provide tax advice and will issue applicable tax documentation as required by law.

We reserve the right to modify, suspend, or terminate the affiliate program at any time, with or without notice. In the event of program termination, outstanding commissions for verified referrals will be honored.

14. Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Kingdom of Denmark, without regard to its principles of conflicts of law.

For consumers residing within the European Union, the mandatory consumer protection provisions of the country in which you reside shall also apply to the extent they provide greater protections than Danish law.

15. Jurisdiction

Any legal proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark. The competent court of first instance shall be Copenhagen City Court (Københavns Byret), located at Nuuk Plads 1, 1790 København V, Denmark.

Notwithstanding the foregoing, if you are a consumer residing in an EU/EEA member state other than Denmark, you may also bring legal proceedings in the courts of the member state in which you reside, in accordance with the Brussels I Regulation (recast) (Regulation (EU) No 1215/2012).

16. Dispute Resolution

16.1 Informal Resolution

In the event of any dispute arising out of or in connection with these Terms, you agree to first attempt to resolve the matter informally by contacting us at [email protected]. We will endeavor to respond to your complaint within fourteen (14) business days and to work with you in good faith to resolve the dispute.

16.2 Court Proceedings

If the dispute cannot be resolved informally within thirty (30) days, either party may initiate legal proceedings in the competent courts of Denmark as described in Section 15 (Jurisdiction). For consumer disputes, simplified court procedures may be available under Danish law.

16.3 EU Online Dispute Resolution

If you are a consumer residing in the European Union, you have the right to submit complaints concerning online goods and services purchased from us to the European Commission's Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr. While we are not obligated to participate in the OR platform's dispute resolution procedures, we will review and respond to any complaints submitted through this channel.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Synnectra with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to such subject matter.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

17.3 Waiver

No failure or delay by Synnectra in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. Any waiver must be in writing and signed by Synnectra to be effective.

17.4 Assignment

You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without our prior written consent. We may assign these Terms to any affiliate or successor entity without your consent, provided that the assignee agrees to be bound by these Terms.

17.5 Amendments

We reserve the right to amend these Terms at any time. We will provide you with at least thirty (30) days' advance notice of any material changes by sending an email to the address associated with your Account and/or by displaying a prominent notice within the Dashboard. Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue use of the Service and close your Account before the amendments take effect.
